Terms and Conditions

1. About Us
This website (skopeosmsf.com.au) is operated by Skopeo SMSF Pty Ltd (ABN 11 695 103 783) (“Skopeo SMSF”, “we”, “our”, “us”).
Skopeo SMSF publishes digital compliance documentation products and software applications for SMSF audit professionals under the Practice Essentials product line.
By accessing this website or purchasing any product, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use this website or purchase any product.
2. Definitions

In these Terms:
“Document Toolkit” means a digital documentation pack comprising templates, manuals, registers, workbooks, checklists and guides sold as a one-off purchase or as a subscription and delivered electronically. The Practice Essentials: Quality Management Suite is a Document Toolkit.
“SaaS Application” means a software application provided by Skopeo SMSF as a hosted online service, accessed via a web browser or application programming interface, and made available on a subscription or usage basis. The SMSF Document Analyser is a SaaS Application.
“Product” means any Document Toolkit, SaaS Application or other digital product or service offered by Skopeo SMSF through this website. Products are intended for use by qualified SMSF audit professionals and accounting professionals only.
“Purchaser”, “you”, “your” means the individual or entity that purchases or subscribes to a Product.
“Subscription” means a recurring payment arrangement providing access to a Product for a specified period.
3. Products

3.1 Document Toolkits
Document Toolkits are sold as one-off purchases or as subscriptions. Upon payment, you receive a digital copy of the documentation pack for download. Document Toolkits are copyrighted works sold subject to the terms of this purchase. Ownership of the intellectual property remains with Skopeo SMSF Pty Ltd. You acquire a copy for your use, not ownership of the underlying work.
3.2 SaaS Applications
SaaS Applications are provided on a subscription or usage basis. Access is granted for the duration of your active Subscription. Skopeo SMSF retains all rights in the software, its source code, algorithms, user interface and documentation. Your Subscription provides a right to access and use the application during the Subscription period; it does not transfer any ownership or proprietary interest.
3.3 Not Professional Advice
All Products are tools to assist SMSF audit professionals. No Product constitutes, and no Product should be relied upon as, legal, regulatory, auditing, accounting, tax or other professional advice. Products do not replace the exercise of professional judgement, nor do they diminish your own professional obligations under applicable standards and legislation. 4. Purchases and Payment

4.1 Pricing
All prices are displayed in Australian dollars (AUD) and at Checkout are inclusive of GST. Skopeo SMSF reserves the right to change prices at any time. Price changes do not affect orders already completed or active Subscriptions until their next renewal date.
4.2 Payment Processing
Payments are processed securely via Stripe. Skopeo SMSF does not store your credit card or payment details. policy. Skopeo SMSF is not liable for any failure, delay or error caused by third-party payment providers. Your use of Stripe is subject to Stripe’s own terms of service and privacy.
4.3 Delivery — Document Toolkits
Upon successful payment, Document Toolkits are delivered electronically via a download link. Delivery is immediate. You are responsible for downloading and securely storing the files. For one-off purchases, re-download access is available for 30 days following purchase. For subscription purchases, re-download access is available during the term of the subscription. After this period, Skopeo SMSF is not obligated to provide further access, but may do so at its discretion.
4.4 Access — SaaS Applications
Upon successful payment or activation of a Subscription, access to the SaaS Application is provided via the login credentials you create at registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account
5. Refunds and Cancellations​

5.1 Document Toolkits
Due to the digital nature of Document Toolkits, refunds are not provided once a Document Toolkit has been accessed or downloaded, except where required under Australian Consumer Law. If the Product files are corrupt, materially incomplete, or do not match the product description, you may request a replacement or refund within 14 days of purchase by contacting accounts@skopeosmsf.com.au.
5.2 SaaS Applications
Subscriptions may be cancelled at any time. Cancellation takes effect at the end of the current billing period. No refund is provided for the remaining portion of a billing period already paid. If a SaaS Application experiences a material failure that prevents you from using the core functionality for a continuous period exceeding 5 business days, you may request a pro-rata credit for the affected period.
5.3 Australian Consumer Law
Nothing in these Terms limits or excludes any rights you may have under the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010 (Cth)) that cannot be excluded or limited by agreement. If you are a consumer within the meaning of the Australian Consumer Law, our goods and services come with guarantees that cannot be excluded. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have goods repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.
6. Copyright and Permitted Use
6.1 Ownership
All Products, including Document Toolkits, SaaS Applications, their content, structure, design, source code, documentation and all associated materials, are protected by copyright under the Copyright Act 1968 (Cth) and are the exclusive property of Skopeo SMSF Pty Ltd. All rights are reserved. Purchase or subscription does not transfer any ownership of, or proprietary interest in, the intellectual property.
6.2 Permitted Use - Document Toolkits
When you purchase a Document Toolkit, you may:

Customise, adapt and modify the documents to reflect your firm’s specific circumstances, size, nature and risk profile.

Incorporate the customised documents into your firm’s internal quality management system or operational processes.

Print and distribute copies of the customised documents to personnel within your own firm.

Present the customised documents to ASIC, the ATO, professional bodies or other regulators as part of your firm’s documentation.

Make reasonable backup copies for disaster recovery purposes.
These permitted uses apply only to a single legal entity (including its employees and contractors) and does not extend to related entities, subsidiaries, network firms or affiliated practices at the time of purchase.
6.3 Permitted Use - SaaS Applications
When you subscribe to a SaaS Application, you may:

Access and use the application via the web interface for the internal business purposes of your firm during the active Subscription period.

Download, export or print any output or reports generated by the application for use within your firm.

Grant access to personnel within your firm up to the number of user seats included in your Subscription.
Your right to access and use a SaaS Application is limited to the Subscription period and the scope of the Subscription plan purchased.

6.4 Prohibited Use - All Products
You must not:

Reproduce, distribute, publish, sell or make available any Product (or any customised version, derivative work or output) to any third party, including other firms, practices, referral networks or industry groups.

Upload any Product to any shared platform, template library, knowledge base, intranet or cloud service accessible by persons outside your own firm.

Use any Product to create a competing product, template pack, software application or commercial offering.

Share any Product with, or allow access by, any other firm, including firms within the same network, referral group, association or corporate group.

Reverse engineer, decompile, disassemble or attempt to derive the source code of any SaaS Application.

Remove, alter or obscure any copyright notice, disclaimer, attribution or branding contained in any Product.

Represent or imply that any Product has been endorsed, approved or certified by Skopeo SMSF, ASIC, the ATO, AUASB, APESB or any professional body.

Share login credentials for any SaaS Application with persons outside your firm or exceed the number of authorised users included in your Subscription.
Any use of a Product beyond the scope of the permitted uses set out above constitutes an infringement of copyright under the Copyright Act 1968 (Cth) and a breach of these Terms.
6.5 Copyright Notices
You must not remove, alter or obscure any copyright notice, disclaimer or attribution contained in any Product. Where you customise a Document Toolkit, the copyright notice and disclaimer must be retained in the customised version.
7. Your Responsibilities
7.1 Customisation
Document Toolkits contain template content, placeholder text (marked with [square brackets]), sample data and worked examples. You must replace all placeholder content with your firm’s own information before use. The Products are starting frameworks, not ready-to-use systems. Professional judgement is required to adapt them to your circumstances.
7.2 Standards Currency
Products reflect auditing standards, legislation and regulatory guidance as at the publication date shown in the Product’s documentation. Standards and legislation change over time. You are solely responsible for monitoring changes and updating your documentation or processes to maintain compliance. Skopeo SMSF may release updated versions at its discretion; unless you hold a Subscription that includes updates, updated versions are a separate purchase.
7.3 Account Security (SaaS Applications)
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify Skopeo SMSF immediately at info@skopeosmsf.com.au if you become aware of any unauthorised access to your account.
7.4 Acceptable Use (SaaS Applications)
You must not use any SaaS Application in a manner that is unlawful, fraudulent, harmful, or that interferes with the operation of the application or the experience of other users. You must not upload or transmit any material that contains viruses, malware or other harmful code. You must not attempt to gain unauthorised access to any system, server or network connected to the application.
8. Your Data (SaaS Applications)
8.1 Ownership of Your Data
Any data, documents or information you upload to or create within a SaaS Application (“Your Data”) remains your property. Skopeo SMSF does not claim any ownership of Your Data.
8.2 How We Use Your Data
Skopeo SMSF accesses Your Data only to the extent necessary to provide, maintain and improve the SaaS Application, to provide support at your request, and as required by law. We do not sell, share or disclose Your Data to third parties except as set out in the Privacy Policy.
8.3 Data Portability and Deletion
You may export Your Data at any time using the export functionality within the SaaS Application (where available). Upon cancellation or termination of your Subscription, Your Data will be retained for 30 days to allow you to export it. After this period, Your Data will be permanently deleted from our systems unless retention is required by law.
8.4 Data Security
Skopeo SMSF takes reasonable steps to protect Your Data from unauthorised access, loss, misuse and disclosure. However, no system is completely secure and Skopeo SMSF does not warrant that the SaaS Application will be free from security vulnerabilities. You are responsible for maintaining your own backups of Your Data.
9. Limitation of Liability
The full Disclaimer and Limitation of Liability is set out on the Disclaimer page, which is incorporated into these Terms by reference. In summary:

Products are provided “as is” without warranty, to the maximum extent permitted by law.

Skopeo SMSF Pty Ltd’s total aggregate liability is limited to the amount you paid for the relevant Product (or, for Subscriptions, the fees paid in the 12 months preceding the claim).

Skopeo SMSF Pty Ltd excludes all liability for indirect, consequential, special or incidental loss, to the maximum extent permitted by law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the Australian Consumer Law.
10. Suspension and Termination
10.1 By You
You may cancel a Subscription at any time through your account settings or by contacting accounts@skopeosmsf.com.au. Cancellation takes effect at the end of the current billing period.
10.2 By Us
Skopeo SMSF may suspend or terminate your access to any Product immediately if you breach any material term of these Terms, including any prohibited use under clause 6.4. In the case of a breach that is capable of being remedied, Skopeo SMSF will provide 14 days’ written notice and an opportunity to remedy the breach before termination, except where the breach involves copyright infringement, in which case termination may be immediate.
10.3 Effect of Termination
Upon termination of a SaaS Application Subscription, your access to the application will cease at the end of the current billing period (or immediately if terminated for breach). Your Data will be available for export for 30 days following termination, after which it will be permanently deleted. Termination does not affect any rights or obligations that accrued before termination, including Skopeo SMSF’s right to seek remedies for copyright infringement or breach.
11. Service Availability (SaaS Applications)
Skopeo SMSF will use reasonable efforts to maintain the availability of SaaS Applications. However, Skopeo SMSF does not guarantee uninterrupted, error-free or secure access. The application may be temporarily unavailable due to scheduled maintenance, system updates, technical issues or circumstances beyond our reasonable control. Skopeo SMSF will endeavour to provide reasonable advance notice of scheduled maintenance where practicable.
12. Changes to Products and Terms
12.1 Product Changes
Skopeo SMSF may update, modify, enhance or discontinue any Product at any time. For SaaS Applications, material changes to core functionality will be communicated to active subscribers with reasonable notice. For Document Toolkits, updated versions are a separate product unless otherwise stated.
12.2 Changes to These Terms
Skopeo SMSF may update these Terms from time to time. The updated version will be posted on this website with a revised effective date. For existing SaaS subscribers, material changes to these Terms will be communicated by email at least 14 days before they take effect. Your continued use of a Product after the updated Terms take effect constitutes your acceptance of the changes.
13. General Provisions
Governing Law: These Terms are governed by the laws of Victoria, Australia.
Jurisdiction: The courts of Victoria, Australia have non-exclusive jurisdiction in relation to any dispute arising under these Terms.
Severability: If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions continue in full force and effect.
Entire Agreement: These Terms, together with the Privacy Policy, Disclaimer and Copyright page, and any product-specific terms displayed at the point of purchase, constitute the entire agreement between you and Skopeo SMSF in relation to your use of this website and the Products.
Waiver: A failure by Skopeo SMSF to enforce any right under these Terms does not constitute a waiver of that right.
Assignment: You may not assign or transfer any rights under these Terms without our prior written consent. Skopeo SMSF may assign its rights under these Terms to a successor entity.
